LEGAL /MERGER ACQUISITIONS/JOINT VENTURES

CLIFF BARNES is a Partner with Epstein, Becker and Green and is a Member of the Firm’s Health Care and Life Sciences Practice in the firm's Washington, DC and New York offices. Mr. Barnes represents providers, including hospitals, hospital systems, international healthcare companies, ancillary service companies, managed care companies, specializing in Medicaid managed care companies, non-profit associations and contract research organizations.

Mr. Barnes:

»  Counsels health care companies on issues related to mergers, acquisitions, joint ventures, various forms of contracting, including risk arrangements, international transactions, antitrust issues, fraud and abuse, compliance programs, and federal and state regulations;
»  Serves as general and special counsel for non-profit associations, including the Medicaid Health Plans of America, and the National Medical Association, among others;
»  Counsels contract research organizations on issues related to clinical trial agreements, protocols and informed consent; and
»  Represents providers in JCAHO accreditation appeals.

Prior to entering law school, Mr. Barnes worked as the Executive Assistant to the Deputy Commissioner of the New York City Health Department and as the Assistant Director for Project Review at the Health System Agency of New York City. Mr. Barnes has served on several boards and is currently a Board member of the National Association of Health Services Executives, and Unity of Washington, DC, among others.

Mr. Barnes received his Juris Doctor, from the University of Virginia, his M.B.A from Cornell University, and Bachelors Degree from Pace University.

HOSPITAL SYSTEMS

MR. K. E. LOFTON – is the past chairman of the American Hospital Association Board of Trustees. Mr. Lofton was appointed President and Chief Executive of Catholic Health Initiatives (“CHI”) in 2003, and currently serves in this capacity. “CHI” is one of the largest Hospital Systems in the USA, with annual revenues exceeding $7 Billion.

Mr. Lofton joined the Denver-based health system in 1998 as President of the Southeast Region and has held a variety of executive positions within the organization, including serving as Executive Vice President and Chief Operating Officer. Prior to joining Catholic Health Initiatives, Mr. Lofton was the Executive Director and Chief Executive Officer of the University of Alabama Hospital in Birmingham, a 908-bed university teaching hospital. Mr. Lofton also served as the Chief Executive Officer of Howard University Hospital in Washington, DC.

Mr. Lofton received a Masters’ of Health Administration Degree from Georgia State University and a Bachelor’s Degree in Management from Boston University.

MEDICAL SYSTEMS

DR. KENNETH D. WILLIAMS - Dr. Williams, a Board Certified Radiologist, currently serves as Chief of Radiology and Medical Director for a major Hospital Group in the Chicago Area. Dr. Williams, a practicing Radiologist for over 25 years, provides advisory services to Princeton Healthcare, specifically in the areas of Diagnostic Radiology Systems and Integration with Hospital Systems.

Dr. Williams received his Doctors in Medicine from the University of Michigan, a Masters in Public Health, from the University of Michigan, and a Bachelors Degree from Boston University.

STRUCTURED FINANCE and INVESTMENTS

MR. RON THOMPSON – Mr. Thompson, a chartered Accountant and Chief Financial Officer for a several major healthcare companies, and hospitals in the USA and Asia. Prior to this period, Mr. Thompson was involved in the Lending and Investment Banking communities for over fifteen years while working with several major international banks and investment banking powerhouses. Mr. Thompson provides advisory services to Princeton Healthcare in the areas of structured finance and investment banking, and participates on PHI’s Investment Team.

Mr. Thompson holds a Masters in Business with a concentration in Finance from the London School of Business, and is a Chartered Accountant.
